Terms of Service

Thank you for using Lighthouse. By visiting Lighthouse and creating an account, you agree to our User Agreement. This is a legal agreement. If you have joined Lighthouse on behalf of an organization, you are agreeing on behalf of that organization. This agreement applies to all users’ activity on our Websites and Services.

Definitions of Document

When we say, “we,” “our,” or “us,” we’re referring to LH Social Co, Inc., a Delaware B Corporation, our employees, directors, officers, affiliates, and subsidiaries.

 

When we say “you” or “your,” we are referring to the person and/or entity that’s registered with us to use the services on Lighthouse.

 

When we say “Terms,” we are referring to the information included in our User Agreement, which includes our Privacy Policy.

 

When we say “Websites,” we are referring to thelocallighthouse.com, including all subdomains and sites associated with this domain, and other websites that we operate now and in the future.

 

When we say “Services,” we mean our Websites, applications, our content, and various third-party services that are available through Lighthouse

 

When we say “Lighthouse,” we mean our Websites and Services collectively.

General Rules

To use Lighthouse you must (a) be at least thirteen (13) years of age; (b) complete the registration process; (c) provide current and accurate information; (d) agree to these Terms; and (e) promise to follow these rules:

  1. You are responsible for the content you share and your actions on Lighthouse.

  2. All content that you post will be accurate, lawful, and not in violation of the rights of third parties

  3. You will use Lighthouse in compliance with all applicable laws, rules, and regulations

  4. You will not use Lighthouse to solicit the performance of any activity which infringes our rights or the rights of others

  5. You will not use Lighthouse to upload, transmit, or otherwise distribute any objectionable content, as solely determined by us.

 

If you break any of your promises above or any of the rules in these Terms, we may terminate your account. Your actions may also subject you to legal consequences.

 

As long as you comply with our User Agreement, we grant you a non-exclusive, non-transferable, limited privilege to use Lighthouse. Your use of Lighthouse is at your own risk.

Safe Practices

As a Public Benefit Corporation, we do our best to keep Lighthouse safe, but we cannot guarantee it. To ensure a safe and respectful environment on Lighthouse, all users commit to the following guidelines:

 

  • 1. Avoid posting unauthorized commercial communications or spam.

  • 2. Do not use automated means to collect users' content or information without permission.

  • 3. Refrain from uploading viruses or other malicious code.

  • 4. Do not solicit login information or access accounts belonging to others.

  • 5. Avoid bullying, intimidating, or harassing any user.

  • 6. Do not post content that includes hate speech, threats, or explicit material.

  • 7. Follow all applicable laws when publicizing contests, giveaways, or fundraisers.

  • 8. Do not engage in unlawful, misleading, or discriminatory activities on Lighthouse.

  • 9. Avoid actions that could disrupt Lighthouse's functionality or appearance.

  • 10. Do not facilitate or encourage violations of the User Agreement.


 

Registration & Account Security

Lighthouse individual users provide their real names and information, and we need your help to keep it that way. Here are some commitments you make to us relating to registering and maintaining the security of your account:

 

  • You will not provide any false personal information on Lighthouse, or create an account for anyone (person or organization) other than yourself without permission.

  • You will not create more than one personal account.

  • You will not create an organization profile under false pretenses or with misguided or falsified information about an organization's 501(c)(3) tax status 

  • If we disable your account, you will not create another one without our permission.

  • You will not use Lighthouse if you are under 13.

  • You will keep your contact information accurate and up-to-date.

  • You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.

  • You will not transfer your account (personal or organization) to anyone without first getting our written permission.

  • If you select a username or similar identifier for your individual profile or organization account, we reserve the right to remove or reclaim it if we believe it is appropriate. 

  • You have the right to delete your account at any time

Protecting Other People’s Rights

Lighthouse is a community of organizations (nonprofits, municipalities, etc.) & individuals (employees of these organizations). We respect other people’s rights to participate safely in this community and expect all users to do the same. As a member of the Lighthouse community, it's important to respect the rights and privacy of others. Here's what you need to know:

  • Do not post content or take any action on Lighthouse that infringes on someone else's rights or violates the law.

  • We reserve the right to remove any content that violates our policies or infringes on the rights of others.

  • Refrain from using our copyrights or trademarks without our permission, except as permitted by our Brand Usage Guidelines.

  • If you collect information from other users, ensure you have their consent and make it clear that you are collecting their information, not Lighthouse. You should also provide a privacy policy detailing how you will use the collected information.

  • Do not share anyone's identification documents, sensitive financial information, or health-related documentation on Lighthouse.

Organization Profile Guidelines

  • You will not promote products, services, schemes, or offers using deceptive or misleading practices, including those intended to scam people out of money or personal information.

  • You will not impersonate or falsely represent a brand, entity, or public figure. 

  • You will not promote drug and alcohol addiction treatment centers that are misleading, engage in practices that are harmful to patients, or otherwise violate applicable laws.

  • If you use Lighthouse to connect and communicate with donors you are responsible for following all lawful procedures and providing updated and accurate information about all tax-related allowances to donors

  • If through your organization profile you collect content and information directly from users, you must make it clear that you (and not Lighthouse) are collecting it, and must provide notice and user consent for your use of the content and information that you collect. Regardless of how you obtain content and information from users, you are responsible for securing all necessary permissions to reuse their content and information. 

  • Your organization must not collect users' content or information, or otherwise access Lighthouse, using automated means (such as harvesting bots, robots, spiders, or scrapers) without written permission from Lighthouse.

  • Your organization’s profile account name must match the name of the 501(c)(3) organization that it represents and must not include profanity, excessively incorrect grammar or punctuation, and must not consist solely of generic terms or locations.

  • You understand that all content posted by your organization is public and can be viewed by all users of the Website

  • Your organization’s profile photo and banner must not include third-party products, brands, or sponsors.

  • Your Page must include all necessary disclosures to all Lighthouse users, such as any disclosures needed to indicate the commercial nature of the content posted by you.

  • You will not use or publish the information individual users share with you unless approved by the individual. If you choose to use this information you will obtain their consent, make it clear you (and not Lighthouse) are requesting to use the information shared.

Pricing

Subscription Plans

Lighthouse offers subscription plans for its services, which may vary in features, duration, and pricing. The details of each subscription plan, including the cost, billing frequency, and included features, are outlined on the pricing page of our website or application. By subscribing to a plan, you agree to pay the specified fees associated with that plan.

 

Fee Changes

Lighthouse reserves the right to modify the pricing of its subscription plans at any time. Any pricing changes will be communicated to existing subscribers via email or through the platform's notification system. Continued use of our services after such changes constitutes acceptance of the new pricing terms.

 

Billing and Payment

Billing for subscription plans will occur in accordance with the selected billing frequency (e.g., monthly or annually). Payment is due upon subscription activation and on each subsequent billing cycle unless otherwise specified. Lighthouse uses Stripe to process all payments via credit and debit cards. Taxes

All fees and charges are exclusive of applicable taxes unless stated otherwise. You are responsible for paying any taxes, including sales tax, value-added tax (VAT), or other similar taxes imposed on your subscription payments. In the event you are a tax-exempt organization, Lighthouse reserves the right to ask for proof of such exemption.

 

Refunds

Lighthouse's refund policy varies depending on the subscription plan and may be subject to certain conditions. Please contact hi@thelocallighthouse.com if you are seeking a reimbursment

 

Discontinuation of Service

If you are interested in canceling or changing your subscription, this information can be accessed from your account settingss page. In the event of subscription cancellation or termination, you may lose access to certain features or services associated with your subscription plan. Lighthouse is not liable for any loss of data or access resulting from subscription discontinuation.

Intellectual Property

You own your content. We do not represent any ownership or claim any intellectual property rights over the information that you provide or that is provided to us.

 

We own Lighthouse and our Services. You may not copy, reproduce, alter, modify, resell, mirror, or create derivative works of Lighthouse, our Services, or our content on Lighthouse without our written permission.

 

You shall grant us a royalty-free, worldwide, transferable, sub-licensable, irrevocable, and perpetual license to incorporate into Lighthouse or otherwise use any suggestions, enhancement requests, recommendations, or other feedback that we receive from you or your agents.

Privacy

Your privacy is important to us. Please carefully review our Privacy Policy which is incorporated by reference into these Terms. Our privacy policy details the way we collect, use, and disclose information about you.

Cancelation

You may delete your account at any time.

Indemnification

You agree to indemnify and hold us harmless from any and all demands, loss, liability, claims, or expenses (including attorneys’ fees) made against us by any third party due to or arising out of or in connection with your use of Lighthouse

 

Services, Representations & Warranties

As a user of Lighthouse, you accept that we don’t provide warranties of any kind (expressed or implied). Accordingly, you accept that Lighthouse does not ensure that our Services will:

  • meet your specific requirements, 

  • be uninterrupted, timely, secure, or error-free

  • provide results that will be accurate or reliable

  • contain the quality of any products, services, information, or other material purchased that will meet your expectations,

  • correct any errors encountered on Lighthouse.

Limitation of Liabilities

To the fullest extent permitted by law, you assume full responsibility for and we disclaim liability to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if we had been advised of the possibility of such damages.

 

We disclaim any and all liability for the acts, omissions, and conduct of any third parties related to your use of Lighthouse and any linked sites and services. Your sole remedy against us for dissatisfaction with Lighthouse is to stop using Lighthouse. This limitation of relief is a part of the bargain between you and us. The preceding disclaimer applies to any damages, liability, or injuries whether for breach of contract, tort, negligence, or any other cause of action.

 

If notwithstanding the other provisions of the Terms, we are found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Website or any of our Services, our liability shall not exceed what you paid us for the Services in the previous month. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Governing of Law

You agree that all matters relating to your access to or use of Lighthouse, including all disputes, will be governed by the laws of the United States and by the laws of the State of Delaware without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Denver County, Denver, and waive any objection to such jurisdiction or venue. Any claim under this User Agreement must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.

 

No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between us and you arising out of or in connection with your use of the Websites, Services, or Additional Services, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Force Majeure

You agree that we are not liable for any delays or failure in performance of any part of the Services, from any cause beyond our control.

Severability

If one or more sections of the Terms are held unenforceable, then those sections will be removed or edited as little as necessary, and the rest of the Terms will still be valid and enforceable.

Assignments

You may not assign any of your rights under this agreement to anyone else. We may assign our rights to any other individual or entity at our discretion.

No Waiver

Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms and all documents incorporated into these Terms by reference constitute the entire agreement between you and us and govern your use of Lighthouse, superseding any prior agreements between you and us (including, but not limited to, any prior versions of the User Agreement). In the event of a conflict between these Terms and the provisions of another agreement between the parties, the provisions of such other agreement shall prevail and govern the relationship of the parties.

Amendments and Changes to Lighthouse

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the Terms, at any time. Amendments or changes to these Terms won’t be effective until we post revised Terms on the Website. Unless explicitly stated otherwise, any new features that augment or enhance Lighthouse shall be subject to the Terms.

 

It is your responsibility to check the Terms periodically for changes. Your continued use of Lighthouse following the posting of changes will mean that you accept and agree to the changes.

 

We reserve the right to do any of the following, at any time, without notice to you: (1) to modify, suspend or terminate operation of or access to Lighthouse, or any portion of Lighthouse for any reason; (2) to modify or change Lighthouse, or any portion of Lighthouse, and any applicable policies or terms; and (3) to interrupt the operation of Lighthouse, or any portion of Lighthouse, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
